1. General

• This Agreement (“Agreement”) constitutes a legally binding contract between you (“User”) and Delviant AI Labs Private Limited (“Delviant”, “Company”, “we”, “us”, or “our”) governing your access to and use of the technology and related services we provide (collectively, the “Services”).
• By registering for, accessing, or using the Services in any manner, you acknowledge that you have read, understood, and agreed to be bound by all terms set out in this Agreement, together with all policies and guidelines incorporated by reference. Your continued use of the Services constitutes acceptance of this Agreement. We recommend you save or print a copy for your records.
• This Agreement is an electronic record generated under the Information Technology Act, 2000, and the rules made thereunder, and does not require any physical or digital signature.
• This document is published in compliance with Rule 3(1) of the Information Technology (Intermediaries Guidelines) Rules, 2011. For the purposes of this Agreement, our website at delviant.in and all associated domains, sub-domains, and technology platforms are collectively referred to as the “Website” or “Platform”.
• Please read this Agreement carefully. If you do not agree with any of its terms, you must not register for, access, or use the Services.

2. Our role

• Delviant is a technology company and lending service provider (LSP). We provide software and infrastructure that facilitate parts of the lending journey on behalf of regulated lenders — banks, NBFCs, and other authorised financial institutions.
• We are not a lender. We do not make credit decisions, sanction or disburse loans, set commercial terms, track borrowers, or collect repayments in our own name.
• All lending relationships, and all commercial and contractual terms, are between the borrower and the relevant regulated lender, whose own terms govern that relationship.

3. Eligibility

• Access to and use of the Website is permitted only to individuals competent to enter into legally binding contracts under the Indian Contract Act, 1872. Persons deemed incompetent to contract — including minors and un-discharged insolvents — are not eligible.
• If you are a minor (under 18 years of age), you must not register as a User, nor access, use, or transact on the Website.
• Delviant reserves the right to terminate your registration, suspend your access, or deny you use of the Website if it determines that you are under 18 or otherwise incompetent to contract under applicable law.

4. Privacy

Any personal information submitted in connection with the Services is subject to our Privacy Policy, which forms part of this Agreement.

5. Registration

• Where the Services require an account, you agree to provide true, accurate, current, and complete information and to keep it updated.
• You are solely responsible for maintaining the confidentiality and security of your account credentials and for all activity under your account, whether authorised or unauthorised. Delviant is not liable for loss arising from your failure to safeguard your credentials.
• You agree to immediately notify us of any actual or suspected unauthorised use of your account, and to log out at the end of each session. We are not liable for loss arising from unauthorised access before you notify us.
• Your account is personal to you and may not be assigned, transferred to, or used by any other person. We may suspend, restrict, or terminate an account where information provided is untrue, inaccurate, or incomplete.

6. Communications

• When you access the Website or send us any communication, you agree that it is made through electronic records, and you consent to receive communications from us in electronic form in connection with the Services or for contractual, transactional, or regulatory purposes.
• We may communicate with you by email, SMS, in-app notification, electronic alert, or other appropriate means. You agree that all such electronic communications satisfy any legal requirement that communications be in writing.

7. The Platform

• The Website functions as a technology platform enabling users to interact with regulated lender partners and access technology services.
• Delviant is not a party to, and does not control, any transaction between a user and a lender.
• All commercial and contractual terms are offered, accepted, and concluded solely between the borrower and the lender.
• Delviant does not determine, influence, or advise on such terms and has no liability for the performance, non-performance, or breach of any contract between a borrower and a lender.
• Where you apply for a loan through the Platform, you authorise us and/or the relevant lender to collect, verify, and process your data and documents, and to obtain your credit information from Credit Information Companies, strictly to facilitate that application. All such actions are based on your express consent.
• Loan sanctioning and disbursement are at the sole discretion of the lender.
• You are responsible for the accuracy of the information you submit, for all activity under your account, and for ensuring your device’s compatibility and connectivity with the Platform.
• Delviant makes no warranty regarding the identity, creditworthiness, or legitimacy of any user, and holds no right, title, or interest in any loan transaction between a borrower and a lender.

8. Indemnity and disclaimer of warranty

• You agree to indemnify, defend, and hold harmless Delviant, its affiliates, and their respective directors, officers, employees, and agents from any claims, liabilities, penalties, or costs (including reasonable legal fees) arising out of your breach of this Agreement or the Privacy Policy, or your violation of any applicable law, regulation, or third-party right.
• The Website, Platform, and all content and services are provided on an “as is” and “as available” basis. To the extent permitted by law, Delviant disclaims all warranties, express, implied, or statutory, including merchantability, fitness for a particular purpose, title, non-infringement, accuracy, and security.
• We make no representation or warranty that the content will be complete, current, or accurate; that the Services will be uninterrupted, timely, secure, or error-free; or that results obtained from the Services will be accurate or reliable.

9. Intellectual property

• The Platform is owned, controlled, and operated by Delviant. All materials on the Website — including text, images, graphics, logos, icons, audio and video clips, software, and other content — are the exclusive property of Delviant or its licensors and are protected by applicable copyright, trademark, and other intellectual property laws.
• Materials are provided for your personal, non-commercial use only. You shall not copy, reproduce, modify, republish, transmit, distribute, or otherwise exploit any content, or enable others to do so.
• Any use of the Platform’s content for commercial purposes, or its reproduction or distribution elsewhere without our prior written consent, is strictly prohibited.

10. Intellectual property complaints

Delviant respects the intellectual property rights of others. If you believe your copyright, trademark, or other intellectual property rights have been infringed through the Platform, you may submit a written complaint to us at compliance@delviant.in.

11. Limitation of liability

• In no event shall Delviant be liable for any special, incidental, indirect, exemplary, punitive, or consequential damages arising out of or in connection with this Agreement, the Website, or the Services, even if advised of the possibility of such damages.
• To the fullest extent permitted by law, Delviant — including its directors, officers, employees, agents, affiliates, and service providers — shall not be liable for any loss or damage (including loss of profits, data, or savings) resulting from your use of or inability to use the Website, any content or services made available through it, or the performance or non-performance of any third-party provider.
• Delviant is not liable for any damage to your equipment, devices, software, or data, including any virus, malware, or technological harm resulting from your access to the Website.

12. Third-party websites

The Website may contain links to third-party websites or resources. Delviant does not control, endorse, or assume responsibility for any such external sites, their content, products, services, or availability, and shall not be liable for any loss arising from your use of, or reliance on, them.

• You acknowledge the rules, regulations, and risks associated with the Services. Information on the Website may be updated or modified periodically without prior notice.
• Delviant may make improvements, modifications, or changes to the Website or Services at any time, and is not liable for unauthorised access, misuse, or disclosure of data resulting from your negligence, such as sharing credentials.
• Delviant does not handle or process any funds directly, and you agree not to raise any claim against Delviant arising from acts, omissions, or breaches of any user or third-party provider beyond our control.
• Delviant may amend these Terms at any time by posting the updated Terms on the Website or by other appropriate means. You are responsible for reviewing the Terms periodically, and continued use constitutes acceptance of the revised Terms.

14. Applicable law and jurisdiction

These Terms are governed by and construed in accordance with the laws of India. The place of jurisdiction shall be exclusively New Delhi.

15. India only

• Unless expressly stated otherwise, all materials and services made available through the Website are intended solely for use within India. Delviant makes no representation that the content or Services are appropriate or available for use in any jurisdiction outside India.
• Users who access the Platform from outside India do so at their own initiative and are solely responsible for compliance with applicable local laws.
